OpenAI Announces Plan to Transition to a For-Profit Company

In a blog post released by the OpenAI board on Friday, the company announced a restructuring that will transfer control to its for-profit division. According to the plan, OpenAI will transition to a public benefit corporation (PBC) in 2025, a form of for-profit enterprise designed to serve the public interest. The newly established PBC will oversee and manage the overall operations of OpenAI, while the non-profit division, though retaining some equity, will no longer have regulatory responsibilities.

The non-profit division will operate independently, with its own leadership team and staff, focusing on charitable projects in areas such as healthcare, education, and science. The board stated that this structural change will help OpenAI raise the necessary funds to achieve its goal of developing general artificial intelligence, while also positioning its non-profit division as one of the most well-resourced non-profits in history. Notably, competitors like Anthropic and Elon Musk's xAI have also adopted the PBC model.

For months, there have been rumors about OpenAI's transition to a for-profit entity, as the company has been seeking to attract investors and raise funds to support its data-intensive AI models. Previous reports suggested that OpenAI CEO Sam Altman might receive around 7% of the equity after the company transitions to a for-profit structure, but Altman has denied these claims.

The board emphasized that the significant investment required for AI development by large corporations highlights the scale of funding needed for OpenAI to continue its mission. "We need to raise far more capital than initially anticipated. Investors want to support us, but at this scale, they require a conventional equity structure rather than a customized one," the board stated.

Under the new plan, the non-profit division will receive shares in the PBC at a fair value determined by an independent financial advisor. Last year, a dispute over whether the non-profit should retain control of OpenAI led to the temporary removal and subsequent reinstatement of Altman by the board members.

Despite the announcement of the transition to a for-profit structure, OpenAI may still face challenges. Last month, Elon Musk filed a motion to block OpenAI's transition, and Meta CEO Mark Zuckerberg requested California Attorney General Rob Bonta to intervene and prevent the change.
